These Terms of Service (“Terms”) govern your access to and use of the website, software, applications, products, and services provided by NextDev Labs (“NextDev Labs,” “we,” “our,” or “us”). By accessing our website or engaging our services, you agree to these Terms. If you do not agree with these Terms, you should not use our services.
1. Our Services
NextDev Labs provides technology and software development services, which may include:
- Website development
- Web application development
- Mobile application development
- Software development
- UI/UX implementation
- API development and integration
- Backend development
- Database development
- Cloud and deployment services
- Software maintenance
- Technical consulting
- Custom software solutions
- Other technology-related services
The exact scope of services will depend on the applicable proposal, quotation, statement of work, agreement, or project documentation.
2. Project Agreements
For individual projects, NextDev Labs may provide a:
- Proposal
- Quotation
- Statement of Work
- Service Agreement
- Development Agreement
- Project Specification
- Invoice
These documents may define the specific scope, price, timeline, deliverables, milestones, and responsibilities. Where a signed written agreement conflicts with these Terms, the specific written agreement will generally control for that project.
3. Client Responsibilities
Clients are responsible for providing:
- Accurate project requirements
- Necessary content
- Branding materials
- Images and other assets
- Required access and credentials
- Timely feedback
- Approvals
- Third-party accounts where required
- Legally authorized data and materials
Delays in receiving required information, approvals, credentials, or feedback may affect project timelines.
4. Project Scope
The project scope will be based on the agreed requirements.
Requests outside the agreed scope may be treated as additional work and may result in:
- Additional charges
- Revised timelines
- Additional development hours
- Separate quotations
- Changes to milestones
NextDev Labs is not obligated to provide out-of-scope functionality without an agreed change request or additional payment arrangement.
5. Payments
Unless otherwise agreed in writing:
- Project fees must be paid according to the agreed payment schedule.
- Invoices are payable within the stated payment period.
- Taxes, transaction fees, third-party service costs, hosting fees, API fees, licenses, subscriptions, and similar external costs may be charged separately unless explicitly included in the quotation.
- Work may be paused if required payments are overdue.
Failure to make payments may result in suspension of services or withholding of deliverables, subject to the applicable agreement and law.
6. Third-Party Services
Some projects may require third-party services, including:
- Cloud hosting
- Payment gateways
- Email services
- Maps and location services
- AI services
- APIs
- Domain services
- App stores
- Analytics services
- Authentication providers
- External software libraries
Third-party services may have separate fees, terms, limitations, availability requirements, or privacy policies. NextDev Labs is not responsible for failures caused by third-party services that are outside our reasonable control.
7. Development Timelines
Project timelines are estimates unless a specific deadline has been expressly agreed in writing.
Delays may occur due to:
- Changes in requirements
- Delayed client feedback
- Delayed approvals
- Third-party dependencies
- Technical issues
- Hosting or infrastructure problems
- API changes
- Force majeure events
- Other circumstances outside our reasonable control
8. Testing and Approval
Clients may be given opportunities to review and test deliverables. The client is responsible for reviewing the delivered functionality and reporting material issues within the agreed review period, where applicable. Changes requested after approval may be treated as additional work unless they relate to defects against the agreed specifications.
9. Intellectual Property
Unless otherwise stated in a written agreement, ownership and licensing of project deliverables will be determined by the applicable project agreement.
Where full ownership is transferred to the client after completion and payment, such transfer may exclude:
- Pre-existing NextDev Labs technology
- Generic development tools
- Frameworks
- Libraries
- Open-source software
- Third-party components
- Reusable code
- Internal development methodologies
- General technical knowledge
Third-party and open-source components remain subject to their respective licenses.
10. Client Materials
The client retains responsibility for materials supplied to NextDev Labs. The client represents that it has appropriate rights, permissions, and licenses to use and provide such materials. The client agrees not to provide materials that knowingly infringe another person's intellectual property or violate applicable law.
11. Confidentiality
Each party may receive confidential information belonging to the other party. Confidential information may include:
- Business information
- Technical information
- Source code
- Credentials
- Product plans
- Financial information
- Customer information
- Trade secrets
- Non-public documentation
Each party should take reasonable measures to protect confidential information. If a separate NDA or confidentiality agreement exists, that agreement will govern confidentiality obligations to the extent of any conflict.
12. Acceptable Use
You agree not to use our services to:
- Violate applicable laws
- Commit fraud
- Distribute malicious software
- Gain unauthorized access to systems
- Attack or disrupt networks
- Infringe intellectual property rights
- Abuse third-party services
- Collect personal information unlawfully
- Conduct activities that create unreasonable security risks
- Facilitate illegal activities
We may suspend services where reasonably necessary to protect our systems, users, clients, or third parties.
13. Accounts and Credentials
Where accounts are provided, users are responsible for maintaining the confidentiality of their login credentials. You should immediately notify us if you believe your account or credentials have been compromised. You are responsible for activity performed through your account to the extent permitted by applicable law.
14. Maintenance and Support
Maintenance and support are provided only when included in the applicable service agreement or package. Unless otherwise agreed, project completion does not automatically include unlimited ongoing maintenance or support.
Maintenance may include:
- Bug fixes
- Technical assistance
- Security updates
- Minor improvements
- Monitoring
- Deployment assistance
The exact support scope depends on the applicable agreement.
15. Warranties and Disclaimers
We aim to provide professional and reliable services.
However, unless expressly stated in writing, our services are provided without guarantees that:
- A system will always be available
- Software will be completely error-free
- A particular business result will be achieved
- Third-party services will always remain available
- Software will work indefinitely without maintenance
- Security vulnerabilities will never occur
To the maximum extent permitted by applicable law, implied warranties not expressly provided in writing are excluded.
16. Limitation of Liability
To the maximum extent permitted by applicable law, NextDev Labs will not be responsible for indirect, incidental, special, consequential, or punitive damages arising from the use of our services. This may include loss of:
- Profits
- Revenue
- Business opportunities
- Data
- Goodwill
- Business interruption
Nothing in these Terms is intended to exclude liability that cannot legally be excluded or limited under applicable law.
17. Indemnification
To the extent permitted by law, you agree to defend and indemnify NextDev Labs and its personnel against claims, losses, liabilities, damages, and expenses arising from:
- Your unlawful use of our services
- Your violation of these Terms
- Your violation of third-party rights
- Materials supplied by you
- Your misuse of software or services
18. Suspension and Termination
We may suspend or terminate access to services where reasonably necessary if:
- Payments remain overdue
- These Terms are materially violated
- Services are being used unlawfully
- There is a significant security risk
- Continued service creates legal or operational risk
Upon termination, the parties remain responsible for obligations that accrued before termination.
19. Refunds and Cancellations
Refund eligibility will depend on the applicable project agreement, quotation, invoice, or payment terms. Where development work has already been performed, payments may not be refundable to the extent permitted by applicable law and the applicable agreement. Third-party fees that have already been incurred may also be non-refundable.
20. Force Majeure
NextDev Labs will not be responsible for delays or failures caused by circumstances beyond reasonable control, including:
- Natural disasters
- War
- Government actions
- Internet outages
- Major infrastructure failures
- Cybersecurity incidents
- Power failures
- Telecommunications failures
- Third-party service outages
- Other extraordinary circumstances
21. Changes to Services
NextDev Labs may modify, improve, suspend, or discontinue portions of its services when reasonably necessary. Where changes materially affect an ongoing contractual service, the applicable project or service agreement will govern.
22. Changes to These Terms
We may update these Terms from time to time. The updated version will be posted with a revised “Last Updated” date. Continued use of our services after the effective date of updated Terms constitutes acceptance of the updated Terms to the extent permitted by law.
23. Governing Law
These Terms shall be governed by and interpreted in accordance with the applicable laws of India, unless a separate written agreement specifies otherwise. Any dispute shall be subject to the jurisdiction and dispute-resolution mechanism specified in the applicable agreement.
24. Severability
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
25. Entire Agreement
These Terms, together with any applicable proposal, quotation, statement of work, service agreement, NDA, or other written agreement, constitute the agreement governing the relevant services.
